1.1 This Website is operated by Good Food Project Ltd. Throughout the site, the terms “we”, “us” and “our” refer to Good Food Project Ltd, a company incorporated in Scotland with a registered address of 272 Bath Street, Glasgow, Scotland, G2 4JR (Company Number: SC727601).

1.2 Good Food Project offers this Website (“Site, www.goodfoodproject.co.uk”) and online store (“Store), including all information, tools and products available from this Site to You, conditioned upon Your acceptance of all terms and conditions stated herein. Please read these Terms and Conditions carefully before using our Site or Store. By doing so, You agree to be bound by these Terms.

1.3 The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

 

1.4 Any new products which are added to the Store shall also be subject to the Terms upon publishing. We reserve the right to update, change or replace any part of these Terms and Conditions by posting updates and/or changes to our Site. It is Your responsibility to check this page periodically for changes, however we will inform You via email if any of the Terms change materially.

 

1.5 Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products to You. We are in the business of retailing and delivering groceries and household essentials.

2. ONLINE STORE

2.1 By agreeing to these Terms and Conditions, You represent that You are in Agreement with the terms herein, and You have read and understood our Privacy Policy. You warrant and agree that You may not use our products for any illegal or unauthorised purpose.

 

2.2 So You may order from our Store, you must register your details and create an account with us. Please note this is strictly to facilitate your online shopping/ordering experience. In order to create an account on our Site,  . You are responsible for ensuring the security of this password - do not share it with anyone. You can reset your password at any time using the ‘forgot your password’ link on our login page. Please ensure the information you input is accurate and complete. You will receive an email confirmation from us upon creation of your account.

2.3 We handle your personal data in line with all applicable Data Protection Laws. Our privacy practices are contained within our Privacy Policy which can be accessed.

 

2.4 Whilst we do not offer any age-restricted products, including alcohol, You must be over 18 years old to create an account or order with us.

 

2.5 We may temporarily or permanently restrict your account if we discover or have a reasonable belief that Your password or account has been compromised by an unauthorised third party. If this event arose, we would send you a password reset email.

 

3. COPYRIGHT

 
3.1 This website and all materials, content, software, text, coding, videos, images, music, graphics, interface, artwork, logos, files, documents (“Content”) are the property of Good Food Project Ltd and are protected by rights of intellectual property, either owned by us or licensed to us. You agree not to reproduce, duplicate, copy, sell, resell or exploit any content or portion of the Site for commercial purposes or gain without the prior, written consent from us. 

3.2 Where content contained on the Site is the copyrighted property of others, acknowledgement of those copyrights will be given and such material will only be used with the owner’s permission. 

3.3 You may use the Site and the content contained within solely for your own individual, non-commercial purposes only. Other uses, including any commercial purpose, are strictly prohibited under these Terms, without our prior, written consent.

 

4. ACCURACY, COMPLETENESS AND TIMELINESS

4.1 We take all reasonable measures to ensure that the information published on our Site is accurate, complete and relevant at all times. From time to time, we may update our Site to align with regulatory and service changes. Whilst we take steps to achieve 100% accuracy of the information published on our Site, we offer no warranty or guarantee as to its accuracy at any given time.

4.2 In terms of Your own personal data, we have the technical functionality to allow You to update Your own personal data held in Your Good Food Project Ltd account, aligning with Your right to rectification granted under GDPR. If You cannot update or amend any erroneous details, please inform us promptly using the details in our ‘contact us’ section.

4.3 The images of our products and/or packaging included on our Site are for illustrative purposes only. Although we have made every effort to advertise these items accurately, we cannot guarantee that your device or your device’s display of the colours accurately reflects the image of the actual products.

 

5. PRODUCTS AND PURCHASING

5.1 Certain products may be available exclusively online through the Site. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy. Products that are exclusive or limited shall be stated as such on our online store. 

5.2 Upon account creation, you may add items to your cart and check out on our Store. You are given the opportunity to review your cart before checking out. If you wish to make any amendments to your order after it has been confirmed, please contact us without delay. However, please note, we are not able to amend orders after they have been packaged for dispatch.


5.3 An order will be considered ‘confirmed’ after full payment has been made by You, and you have received a confirmation alert that we have accepted your order. We accept all orders in good faith and we endeavour to fulfil all orders we receive. However, all of our products are subject to availability and as such, we cannot guarantee that any product is available upon order acceptance. On this occasion, we would offer you a suitable equivalent as a substitute item at an equal cost, or refund any monies paid by you, for out of stock items, if substitutes are not acceptable.

5.4 Product pricing (inclusive of VAT – where applicable): is the price displayed on each item’s section in your order summary before checkout. We take all reasonable steps to ensure that product pricing is accurate and displayed without error. However, despite our best efforts, it is entirely possible that some of our products may be incorrectly priced. We perform due diligence on our pricing to ensure it is displayed to You correctly on our online store. Please review all prices quoted in your order summary before moving to payment, to ensure they are as expected by you.

5.5. Please note that some of your services are fresh produce and as such, are priced according to their weight. For these products, we will display the weights on each item's page. These weights should be used as a guideline only - the weight you receive may differ from that on the Site, but you will be charged according to the weight of the actual product received. 

5.6 We reserve the right to increase our pricing at any time, to align with increasing market prices and inflation.

5.7 Product descriptions and ingredients: We make all reasonable efforts to ensure that the images of our products and/or packaging used on our Site are intended to be illustrative only. Although we endeavour for absolute accuracy, we cannot guarantee that a device’s display of the colours accurately reflects the image of the products. Your Product may vary slightly from any portrayed images, without impacting the material of the product. The actual ingredients contained within any of our products will be displayed on the item’s page on our Store.

5.8 Payments: for billing information, please see below.

5.9 Delivery of Products: We will deliver to the delivery address given by your during checkout. We will inform you before checkout stage whether we can deliver to your chosen address.

5.10 We will inform You of the estimated delivery date upon completion of Your order. If the Products are one-off goods, we will deliver this to you on the delivery date displayed at checkout stage. You will be informed of delivery costs, if any, during the checkout process.

5.11 Please note that whilst it is our intention to deliver to you on the elected day, sometimes deliveries are subject to delays for reasons out of our control. In this event, we accept no responsibility for delayed deliveries. We will inform You of any delay immediately and take all reasonable steps to minimise inconvenience to You. You will always receive a refund for items You have paid for, but are not delivered to You, through no fault of Your own.

5.12 Delivery Arrangements: On delivery day, if there is no one present to receive the delivery at Your chosen place, we will make attempts to follow any alternative arrangements given by you, such as leaving your delivery with a trusted neighbour or in a safe place. We will confirm to You when we have done so. Please note that you are responsible for choosing suitable alternatives and if your package is damaged or stolen, we do not assume responsibility for this however we will review this on a case-by-case basis. 

5.13 Fresh Produce: Whilst we have prepared fresh produce items like fruit and veg for delivery, you acknowledge that items require thorough washing before use. Please review the contents of your delivery at your earliest convenience and inform us via email if you believe any of the products are unsatisfactory. 

5.14 Allergies: Our food items may contain or be exposed to nuts, soya, gluten, celery, celeriac, sulphites, dairy and eggs. Allergy information will be available for each product we offer. Please read product descriptions carefully. 

5.15 Defrosting: Some of our products are perishable, frozen food items. Whilst we have accounted for minor defrosting during the delivery process and have packaged our products appropriately if You are not satisfied with the level of defrosting on Your items, please contact us without delay. Please note we may request photographic evidence of the items You are contesting. Never refreeze any frozen food items that have been defrosted.

5.16 Product issues: If You have any concerns, enquiries or comments about our products or services, please contact us by emailing us at steve@goodfoodproject.com or writing to us using the details in the ‘contact us’ section below.

5.17 Our rights: We reserve the right to suspend the supply of products, in any event. We will endeavour to inform You before we suspend any products, unless the recall is urgent or an emergency. If You have ordered a Product that is suddenly suspended, You will be eligible for a refund. 

5.18 We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time.

 

6. ACCURACY OF BILLING AND ACCOUNT INFORMATION


6.1 Payment is accepted by any major debit or credit card. You must make payment in full to us before Your order may be accepted. All of our pricing is inclusive of VAT, unless stated otherwise on our online store.

 

6.2 You agree to provide current, complete and accurate purchase and account information for all purchases made at our Store. You agree to promptly update, as required, Your account and other information, including Your email address and payment card numbers and expiration dates.

 

6.3 We will contact You in the event that there are any changes in the rate of VAT payable. If the rate of VAT changes between Your order date and the date we supply the Product, we will adjust the rate of VAT that You pay

6.4 We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same payment card, and/or orders that use the same billing and/or shipping address.

 

6.5 On occasion, we may offer promotional or discount codes for our Store. Please note that terms apply to every promotional code we offer. Codes are subject to one use only, and expire upon the date stated.

6.6 In the event that we make a change to or cancel an order You have placed in full, we will notify You by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgement, appear to be placed by dealers, resellers or distributors.

7.1 Certain content, products and services available via our Service may include materials from third-parties. Third-party links on this site may direct You to third-party Sites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or Sites, or for any other materials, products, or services of third-parties.

7.2 We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party Sites. Please review carefully the third-party's policies and practices and make sure You understand them before You engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

 

8. USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS


8.1 From time to time, if You have given us permission to contact You for marketing purposes, we may ask You to participate in surveys, polls on social media or testimonials so we may both improve, and advertise our services and products to prospective customers. If You provide us with such correspondence, You agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that You forward to us.

8.2 You agree that Your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that Your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related Site.

8.3 You may not use a false e‑mail address, pretend to be someone other than Yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments You make and their accuracy.

 

9. PERSONAL INFORMATION

Your submission of personal information through the store is governed by our Privacy Policy. We process personal data in the highest confidence and in compliance with all applicable data protection laws, including the General Data Protection Regulations (GDPR). 10. ERRORS, INACCURACIES AND OMISSIONS

10.1 Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. Without prejudice to your statutory rights, We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related Site is inaccurate at any time without prior notice (including after You have submitted Your order). 

10.2 If any error, inaccuracy or omission materially impacts You, either by loss or convenience, please contact us immediately. 

 

11. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

11.1 We do not guarantee, represent or warrant that Your use of our Site and Store, including its content, will be uninterrupted, timely, secure or error-free. Without


11.2 You agree that, from time to time, we may remove our service for indefinite periods of time or cancel the service at any time, without prior notice to You.


11.3 The service and all products and services delivered to You through the service are (except as expressly stated by us) provided 'as is' and 'as available' for Your use, without any representation, warranties or conditions of any kind, either express or implied. If any product you have received from us is unsatisfactory, please notify us immediately. We may replace or refund the price of the defaulted item. This will not extend to an act or omission by you if this is the cause of the defect.

11.4 The restrictions on liability in this clause apply to every liability arising under or in connection with these Terms, including in contract, delict, under statute or otherwise (including liability arising from negligence). 

11.5 Nothing in this Agreement shall be construed so as to limit any liability of Good Food Project Ltd which cannot be legally limited, including but not limited to liability for:

(i) death or personal injury caused by negligence, or the negligence of its employees, agents, or subcontractors (as applicable)
(ii) a party’s fraud or fraudulent misrepresentation;

(iii) breach of the terms implied by section 12 of the Sales of Goods Act 1979; or

(iv) defective products under the Consumer Protection Act 1987 

11.6 Subject to the unlimited liabilities above, Good Food Project Ltd’s total liability to you shall not exceed the total purchase price paid for the concerned products. Without prejudice to liability matters which cannot be legally limited, the following types of losses are wholly excluded:

(i) loss of profits;

(ii) loss of sales or business;

(iii) loss of agreements or contracts

(iv) loss of anticipated savings

(v) loss of use or corruption of software, data or information

(vi) loss of or damage to goodwill; and

(vii) indirect or consequential loss 

11.7 This liability clause shall survive termination of these Terms. 

 

12. CANCELLATIONS

 

12.1 Cancellations: Good Food Project Ltd may cancel any accepted order at any time, within our reasonable discretion, or upon discovery of a breach of these Terms by you.

 

12.2 You can cancel your registration with us and close your account at any time, by emailing us at steve@goodfoodproject.co.uk.

 

12.3 Under the Consumer Contracts (information, cancellation and additional charges) Regulations 2013, consumers are offered protection on the basis that their goods are not delivered on the agreed date or within the agreed period.

 

12.4 If we discover or reasonably suspect that You have failed to comply with any Term herein, we may terminate our contract immediately without notice and/or deny You access to our Services (or any part thereof). We will always inform you of this event and this shall not affect your statutory rights.


12.5 If any of the below circumstances take place, you have the automatic right to terminate the contract with us: 

(i) Good Food Project Ltd has refused to deliver the goods,

(ii) Delivery of the goods at the agreed time or within the agreed period is essential taking into account all the relevant circumstances at the time the contract was entered into, or;

(iii) You told us before the contract was entered into that the delivery or delivery at the agreed time or within the agreed period, was essential. 

12.6 The 2013 regulations also offer an opportunity to change Your mind with a cooling-off period. Your right to cancel an order for goods made at a distance starts from the moment You place your order and ends 14 days from the date delivery was made. However, whilst this 14 day cooling off period is offered for non-perishable items, any perishable items are exempt from the 14 day cooling off period, as these cannot be resold once returned and are considered to ‘deteriorate rapidly’. 12.7 You have the right to cancel or amend Your order any time up until the order has been processed and prepared for delivery. To cancel or amend an order, please email us at steve@goodfoodproject.co.uk , quoting Your order number, order details, full name, delivery address and the changes You wish to make.

 

13. REFUNDS AND RETURNS

13.1 Refunds and returns will be considered on a case-by-case basis and are subject to our Returns Policy. If you have any further query about a return or refund, please contact us at steve@goodfoodproject.com

14. ENTIRE AGREEMENT

14.1 Nothing in this entire agreement shall be considered to constitute a waiver of any rights or provisions. These Terms and Conditions and any policies posted by us on our Site or in respect of our products constitutes the entire agreement and understanding between You and us. Our terms will govern Your use of our Services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between You and us (including, but not limited to, any prior versions of the Terms and Conditions). 

14.2 No third parties have any rights or obligations under these terms and conditions. In the event that we wish to transfer this Agreement to someone else, we will do so only with Your prior consent.

14.3 If any section or element of these terms are deemed illegal or unacceptable by a court of law, the remaining terms will continue to be enforceable. Nothing in these Terms is intended to or actually affect your statutory rights. 15. SEVERABILITY

In the event that any provision of these Terms and Conditions is determined to be unlawful, void or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of these Terms.

16. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with Scottish law. Scottish courts will have non-exclusive jurisdiction over any disputes arising under or in connection with these Terms.

17. AMENDMENTS 

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms and Conditions by posting updates and changes to our Site. We will inform you of any material changes to these Terms via an email service message. Any new versions of these Terms will be considered enforceable immediately following notice to our Users. Your continued use of our Site and Store following an update to these Terms shall be considered to be an indication of your acceptance.
